Terms of service

The contract between you and Take Group for using Cotlet.

1. Who we are and these terms

  • Cotlet is a service of Take Group sp. z o.o., ul. Wincentego Janasa 4, 40-855 Katowice, Poland, entered in the National Court Register (KRS) under number 0000871398 by the District Court Katowice-Wschód in Katowice, 8th Commercial Division of the National Court Register, NIP 6342984273, REGON 387616994, share capital PLN 5,000 ("Take Group", "we", "us").
  • These terms are a contract between you and Take Group for the use of cotlet.dev, the Cotlet console, the Cotlet REST API and the Cotlet MCP server (together, the "Service").
  • You accept them when you create an account, request access or use the Service. If you accept them for a company or other organization, you confirm that you may bind it, and "you" means that organization.
  • A "Consumer" is a person who uses the Service outside their trade, business or profession. Sections marked for Consumers also apply to a sole trader in Poland for whom the contract has no professional character, as Polish law provides.

2. The Service

  • Cotlet hosts unofficial integrations, as MCP tools and REST endpoints, for third-party apps that have no usable API (each a "Connected App"). Your AI agent or your script calls them with your Cotlet API key, and the Service performs the action in your own account in the Connected App.
  • You connect a Connected App by signing in to it yourself, in your browser. We keep the resulting session (cookies or tokens), encrypted, and use it only for the actions you allow. We never ask for, receive or store your Connected App password.
  • The Service may use automated browsers, HTTP clients and our own infrastructure to perform actions, at a pace close to a person's. We do not solve CAPTCHAs, bypass multi-factor authentication or defeat other access controls. When a Connected App asks for one of these, you complete it yourself.
  • Integrations are not affiliated with, endorsed by or sponsored by the Connected Apps. A Connected App may change or block access at any time, so an integration may pause, change or stop working. We may change, pause or retire an integration; when we retire one you pay for, we tell you in advance where we can.
  • Descriptions on the site, such as endpoints, parameters and example responses, describe the Service. Example responses are labeled as examples and do not contain real user data.

3. Requesting access and accounts

  • Access to integrations is granted per account. You request access, pick your apps, and we review each request. We may grant or decline a request, or grant it for some apps only. We email you when your account is ready.
  • Until we grant access you can browse the site, the documentation and every endpoint's description, and nothing is charged.
  • You must be at least 18 years old and give us accurate information. Each account belongs to one person; organizations add each member as a separate user where the plan allows it.
  • Keep your password and API keys secret. You are responsible for all calls made with your API keys until you revoke them. Tell us at once if you think a key has leaked.

4. Your authorization to act on your behalf

  • For each Connected App, you confirm that you own the account or are authorized by its owner to use it, and to let the Service act in it. For an organization's account, this means a person with authority to give that permission.
  • You choose what the Service may do in each account: read only, read and write, or actions that need your confirmation each time. We act only within that permission and only when your agent, your script or you instruct it.
  • You are responsible for the instructions your AI agent or script sends, including mistakes an AI agent makes. Actions that reach other people, such as posts and messages, can be set to wait for your confirmation; we recommend keeping that on.
  • You can disconnect a Connected App or revoke an API key at any time in your dashboard. The session is deleted and calls stop at once.

5. Connected Apps and their terms

  • Your use of each Connected App is governed by your own agreement with its provider. You are responsible for making sure your use of the Service complies with that agreement and with the law that applies to you. We do not give legal advice.
  • A Connected App may apply rate limits, security checks, account restrictions or other measures to automated use. You accept that risk when you connect it. To the extent the law allows, we are not responsible for measures a Connected App provider takes against your account.
  • If a Connected App provider objects to an integration, for example by a cease-and-desist letter, we may pause that integration within 24 hours and tell affected users. Credits are not used while an integration is paused.
  • If a Connected App offers an official API that does what you need, we recommend you use it.

6. Acceptable use

  • You agree to follow the acceptable use policy, which forms part of these terms.
  • In particular, you may not use the Service to access an account without authorization, send spam, collect other people's personal data at scale, defeat security measures, break the law or infringe anyone's rights.
  • You may not use the Service if you are subject to sanctions of the European Union, the United Kingdom, the United Nations or the United States, or on behalf of a person who is, or in breach of export control laws.

7. Plans, credits and billing

  • Paid plans and their prices are listed on the pricing page. Nothing is charged until your access is active and you choose a plan.
  • The plan is a subscription billed monthly in advance in US dollars, in the size you choose. Each monthly payment includes a usage allowance of credits. A successful call uses credits for the work it takes; failed calls and timeouts use none.
  • Credits from each monthly payment stay valid for 3 months from that payment and then expire; we use the oldest credits first and tell you by email before any expire. If you cancel, credits already paid for stay valid until they expire. Credits have no cash value and cannot be transferred or exchanged for money, except where the law requires a refund.
  • A hard spend cap is on by default: when your credits run out, calls pause until your next monthly payment or until you move to a bigger size. We never charge for usage above your plan without your consent.
  • Automatic renewal: your plan renews every month and you are charged the then-current price on the renewal date until you cancel. You can cancel online at any time in your dashboard; cancellation takes effect at the end of the paid month and you keep access until then.
  • Payments are processed by Stripe. You authorize us to charge your payment method for each renewal. If a payment fails, we tell you and may pause calls until it succeeds.
  • Taxes: for Consumers in the European Union and the United Kingdom, the price at checkout includes VAT. For business customers, prices exclude VAT and other taxes, which are added where the law requires or accounted for by you under the reverse charge. We send an invoice for each payment by email.
  • We may change prices for future billing periods. We tell you at least 30 days in advance by email; if you do not agree, you can cancel before the new price applies.
  • Fees already paid are not refundable, except as stated in these terms or where the law requires. If we pause an integration through no fault of yours, the credits it did not use stay on your account.

8. Right of withdrawal for Consumers

  • If you are a Consumer in the European Union or the United Kingdom, you may withdraw from a paid plan within 14 days of buying it, without giving a reason.
  • To withdraw, send us a clear statement by email before the 14 days end. You may use this model form: "To Take Group sp. z o.o., ul. Wincentego Janasa 4, 40-855 Katowice, Poland, contact@cotlet.dev: I hereby withdraw from my contract for the following service: [plan], ordered on [date]. Name, email address of the account, date."
  • If you asked us to start the Service within the 14 days, you pay an amount in proportion to what we provided until you told us of your withdrawal, measured by the share of the month and the credits used. We refund the rest, using the payment method you used, within 14 days of receiving your statement.

9. Conformity and complaints

  • We provide the Service as described in these terms and on the site. If you are a Consumer, you have the statutory rights that the law of your country gives for digital services that do not conform to the contract, and nothing in these terms limits them.
  • To complain, write to contact@cotlet.dev with a description of the problem and your account email. We reply within 14 days. If you are a Consumer in Poland and we do not reply in time, your complaint is treated as accepted.
  • Consumers may also use out-of-court dispute resolution. In Poland: the Provincial Inspectorates of Trade Inspection and the municipal or district consumer ombudsmen; elsewhere in the EU: the bodies listed by the European Consumer Centres Network. We will tell you whether we agree to take part.

10. Availability and support

  • We work to keep the Service available and tested, but we do not promise uninterrupted availability, unless we agree a service level in writing. Maintenance, changes in Connected Apps and events outside our control can interrupt it.
  • Support is by email. We aim to reply within two business days.

11. Your data

  • You keep all rights in your data and in the content of your Connected Apps. You allow us to process it only to provide the Service to you, as described in these terms.
  • How we handle personal data is described in the privacy policy.
  • If you are a business and we process personal data for you under the GDPR or US state privacy laws, the data processing addendum forms part of these terms.
  • We do not use your data or the content of your Connected Apps to train AI models, and we do not sell it.

12. Intellectual property

  • The Service, the site, the documentation and the Cotlet name and logo belong to Take Group or its licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these terms while your account is active.
  • You may not copy, resell or offer the Service to others as a service, or reverse engineer it, except where the law allows it despite this clause.
  • Names of Connected Apps are trademarks of their owners and are used only to describe what an integration connects to.
  • If you send us ideas or feedback, we may use them without any obligation to you.

13. Warranties

  • For business customers: to the extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
  • For Consumers: you keep every warranty and right that mandatory law gives you. Nothing in these terms excludes or limits them.

14. Limitation of liability

  • For business customers: to the extent the law allows, neither party is liable for lost profits, lost revenue, lost data or indirect or consequential damages, and each party's total liability under these terms is limited to the greater of the fees you paid in the 12 months before the claim and USD 100.
  • These limits do not apply to damage caused intentionally or by gross negligence, to death or personal injury, to your payment obligations or your indemnity, or where the law does not allow liability to be limited.
  • For Consumers: we are liable under the mandatory law that applies to you, and the limits above apply only as far as that law allows.

15. Indemnity

  • If you are a business customer, you will defend and indemnify Take Group against third-party claims, including claims by Connected App providers, arising from your use of the Service in breach of these terms, the acceptable use policy, a Connected App's terms or the law, or from a lack of authorization for an account you connected.
  • We will tell you promptly about such a claim, let you control its defense and help you at your cost. This section does not apply to Consumers.

16. Suspension and termination

  • You can close your account at any time in your dashboard or by email. Closing an account ends your plan at the end of the paid month.
  • We may suspend or close your account if you seriously or repeatedly breach these terms, if your use puts the Service, other users or third parties at risk, if the law or an authority requires it, or if a payment remains unpaid after notice. We tell you the reason and, where possible, give you time to fix it first.
  • We may also end the Service or your plan for any other reason with 30 days' notice by email, and refund the fees you prepaid for the time after it ends.
  • When your account closes, your Connected App sessions are deleted at once and your other data is deleted as described in the privacy policy. Sections that by their nature should survive, such as liability, indemnity and governing law, survive.

17. Changes to these terms

  • We may change these terms for good reasons: a change in the law or a decision of an authority, a change in Connected Apps or our providers, security, new features, or changes in our costs or the scope of the Service.
  • We tell you about material changes by email at least 30 days before they apply. If you do not agree, you can close your account before then, and a Consumer gets a refund of fees prepaid for the time after the change.
  • The version in force is always on this page, with its effective date.

18. Legal notices and point of contact

  • Our point of contact for legal notices, reports of illegal content or misuse, and requests from authorities is contact@cotlet.dev. It is our single point of contact for users, authorities and the European Commission under the Digital Services Act, and for notices from Connected App providers. You can write in English or Polish.
  • We send notices to you by email to the address of your account, and they count as received the day they are sent.

19. Governing law and disputes

  • These terms are governed by Polish law, excluding the UN Convention on Contracts for the International Sale of Goods.
  • Disputes with business customers are decided by the common courts competent for the registered office of Take Group in Katowice, Poland.
  • If you are a Consumer, you keep the protection of the mandatory law of your country of habitual residence, and you may bring a claim in the courts of that country or of Poland.

20. General

  • These terms, with the policies they link to, are the whole agreement between you and us about the Service. If a part is invalid, the rest stays in force.
  • We may transfer this contract to a company that takes over the Service, and we tell you if we do; a Consumer may then end the contract. You may not transfer it without our consent.
  • Neither party is responsible for delays caused by events outside its reasonable control. Not enforcing a right is not a waiver of it.
  • These terms are written in English. If we provide a translation, the English version prevails, unless mandatory law says otherwise for Consumers.

  • Take Group sp. z o.o., ul. Wincentego Janasa 4, 40-855 Katowice, Poland.
